Thank you for visiting the website of Provista Diagnostics, Inc. (collectively with its affiliates, “us,” “we” or “the Company”). We care about your privacy, and the intent of this Privacy Policy is to detail the information the Company may gather about visitors of www.provistadx.com (the “Site”), how that information is used, and the Company’s disclosure practices. On the Site you may find in-depth information and resources about us, our management and advisors, the Company’s certifications and accreditations, the science and technology of our molecular diagnostics work and our diagnostics pipeline (the “Service”), news and events, investors relations information and other materials pertinent to our Service. Please note that this policy applies only to the Site and not to the websites of other companies or organizations to which we may provide links.  

You acknowledge that this Privacy Policy is part of our Terms of Use, and by accessing or using our Site, you agree to be bound by all of its terms and conditions. If you do not agree to these terms, please do not access or use the Site. By using the Site, you are consenting to have your personal data transferred to and processed in the United States.

We reserve the right to modify this Privacy Policy at any time. You acknowledge and agree that we may notify you about material changes to the Privacy Policy by posting a notice on the site or by sending an email to the email address you provide us when engaging in the Services. You acknowledge and agree that it is your responsibility to review this Site and this Privacy Policy periodically and to be aware of any modifications. Your continued use of the Site after such modifications will constitute your: (i) acknowledgment of the modified Privacy Policy; and (ii) agreement to abide and be bound by the modified Privacy Policy.

Privacy-Policy

In order to better provide you with our Service, we collect two types of information about our visitors: personally identifiable information and non-personally identifiable information. Our primary goal in collecting information from you is to provide you with a smooth, efficient, and customized experience while using our Site. Personally, identifiable information refers to information that lets us know the specifics of who you are. We do not collect any personally identifiable information about you unless you voluntarily provide it to us. You provide certain personally identifiable information to us when you, for example: (a) register an account with us; (b) request access to downloadable applications, forms, reports and other information about our products and services; (c) request a consultation; (d) fill out surveys; (e) or provide feedback. It is completely optional for you to engage in these activities. If you elect to engage in these activities, however, we may ask that you provide us information, such as your name, mailing address, email address, telephone and facsimile numbers, and other personally identifying information. If you fill out an application accessed through the Site, you may provide us with additional personally identifiable information, e.g., our financial assistance application requires that you provide us with, your social security number, financial information and date of birth. Depending upon the activity, some of the information we ask you to provide is identified as mandatory and some as voluntary. If you do not provide the mandatory data with respect to a particular activity, we may not be able to provide the relevant information or services.   

In addition, we may also collect, certain non-personally identifiable information. Non-personally identifiable information refers to information that does not by itself identify a specific individual. We gather certain information about you or how you use the Site. This information is compiled and analyzed on both an individual and an aggregated basis. This information may include the website’s Uniform Resource Locator (“URL”) that you just came from, which URL you go to next, what browser you are using, and your Internet Protocol (“IP”) address. A URL is the global address of documents and other resources on the World Wide Web. An IP address is an identifier for a computer or device on a Transmission Control Protocol/Internet Protocol (“TCP/IP”) network, such as the World Wide Web. Networks like the Web use the TCP/IP protocol to route information based on the IP address of the destination. In other words, an IP address is a number that is automatically assigned to your computer whenever you are surfing the web, allowing web servers to locate and identify your computer. Computers require IP addresses in order for users to communicate on the Internet.

We will primarily use the information we collect from you to: (a) operate the Site and provide the Service to you; (b) deliver information to you about our Service or your account; (c) provide information about other services requested by you; (d) enhance the operation of our Site; (e) improve our marketing and promotional efforts; (f) troubleshoot problems with our servers and software; (g) improve our Service and respond to your customer service requests; (h) customize our Site’s content, layout, and functionality; (i) resolve disputes; (j) enforce our agreements with you, including our Terms of Use and this Privacy Policy; (k) prevent fraud; (l) and for other purposes authorized by law. 

We use aggregate information about our users and non-personally identifiable information to analyze the Site and user behavior and prepare aggregated reports (e.g., total number of visitors, IP addresses, browser types, access times, pages viewed and referring website addresses). 

You expressly consent to our lawful use of your personally identifiable information and that we may retain information as long as it is necessary and relevant for our operations, including to effectuate your requests. Further, you consent to the ability of third-party service providers working on our behalf to collect and retain personally identifiable information and non-personally identifiable information for Site operation purposes as described above.  

We do not sell, trade, or rent your personally identifiable information to others. We may share the information we collect about you with our affiliates, services providers, partners and other third parties with whom we have a contractual relationship. We and our service providers use your personally identifiable information to operate our Site and to deliver Services. For example, we may provide order information to third parties that help us provide customer service. We may share your personally identifiable information for other purposes disclosed by us when you provide the information and with your consent.

Occasionally we may be required by law enforcement or judicial authorities to provide personally identifiable information to the appropriate governmental authorities. We will disclose personally identifiable information upon receipt of a court order, subpoena, or to cooperate with a law enforcement investigation. We fully cooperate with law enforcement agencies in identifying those who use our services for illegal activities. We reserve the right to report to law enforcement agencies any activities that we in good faith believe to be unlawful.

We may share your information with other business entities, should we plan to merge with or be acquired by that business entity. Should such a combination occur, we will make reasonable efforts to request that the new combined entity follow this Privacy Policy with respect to your personal information.

We believe you should have the ability to access and edit the personally identifiable information that you have provided to us. You may update or correct your personal information and privacy preferences by communicating with us at hubspot@provistadx.com.

We may, from time to time, send you email regarding our Service and/or the Site. In addition, we may occasionally send you emails about other services that we feel may be of interest to you. We (or agents working on our behalf and under confidentiality agreements) will send you these emails unless you have indicated that you object to these offers. When you use our Site we, or our third-party service providers, may use tracking technologies, such as cookies.  Cookies are stored on your computer in order to facilitate and customize your use of our Site. A cookie is a small data text file, which a Web Site stores on your computer's hard drive (if your Web browser permits) that can later be retrieved to identify you to us. The cookies make your use of the Site easier, make the Site run more smoothly and help us to maintain a secure Site.

By modifying your browser preferences, you may have the choice to accept all cookies, to be notified when a cookie is set, or to reject all cookies. If you choose to reject all cookies some parts of our Site may not work properly in your case. 

Some content or applications on the Website are served by third-parties, including application providers. These third parties may use cookies or other tracking technologies to collect information about you when you use the Site. The information they collect may be associated with your personally identifiable information or they may collect information, including personally identifiable information, about your online activities over time and across different websites and other online services. They may use this information to provide you with interest-based advertising or other targeted content.

We do not control these third parties’ tracking technologies or how they may be used. Except as otherwise discussed in this Privacy Policy, this document only addresses the use and disclosure of information we collect from you. Other websites that may be accessible through our Site have their own privacy policies and data collection, use and disclosure practices. Please consult those other websites’ privacy policies. We are not responsible for the policies or practices of those third parties.

The importance of security for all personally-identifiable information associated with our visitors is of utmost concern to us. Your personally identifiable information is protected in several ways through user authentication, authorization, secure socket layer and data encryption using a standard encryption algorithm. In addition, your personally identifiable information resides on a secure server that only selected Company personnel have access to via password. Since this information is not accessible from outside the Company you will not have access to view or modify such information directly. Unfortunately, no data transmission over the Internet or any wireless network can be guaranteed to be 100% secure. As a result, while we strive to protect your personally identifiable information, you acknowledge that: (i) there are security and privacy limitations of the Internet which are beyond our control; (ii) the security, integrity and privacy of any and all information and data exchanged between you and us through this Site cannot be guaranteed; and (iii) any such information and data may be viewed or tampered with in transit by a third party.

Our Site is not intended for children under 13 years of age. No one under age 13 may provide any information on the Site. We do not knowingly collect, use or disclose personally identifiable information about visitors that are under 13 years of age.

Residents of the State of California may request a list of all third-parties to which our online service has disclosed certain personal information (as defined by California law) during the preceding year for those third-parties’ direct marketing purposes. If you are a California resident and want such a list, please contact us at privacy@provistadx.com. For all requests, you must put the statement “Your California Privacy Rights” in the body of your request, as well as your name, street address, city, state, and zip code. In the body of your request, please provide enough information for us to determine if this applies to you. You need to attest to the fact that you are a California resident and provide a current California address for our response. Please note that we will not accept requests via the telephone, mail, or by facsimile, and we are not responsible for notices that are not labeled or sent properly, or that do not have complete information.

California Business & Professions Code Section 22575(b) (as amended effective January 1, 2014) provides that California residents are entitled to know how Provista responds to “Do Not Track” browser settings. Provista does not currently take actions to respond to Do Not Track signals because a uniform technological standard has not yet been developed. We may adopt a standard once one is created.
